1. Agreement to terms
These Terms of Use ("Terms") govern your access to and use of the website located at edusynthlab.life (the "Site"), operated by EduSynthLab Inc., a corporation incorporated in British Columbia with its principal office at 1661 Ontario Street, Suite 110, Vancouver, BC V5Y 0C4, Canada (Business Number 803 261 495 RC0001). By accessing or using the Site, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the Site.
2. About EduSynthLab
EduSynthLab is an education research and development lab providing generative content, assessment, and analytics services to institutional clients. The Site is an informational and contact channel. Descriptions of services, pricing ranges, and sample engagements are illustrative unless confirmed in a signed statement of work. Nothing on the Site constitutes a binding offer to contract.
3. Permitted use
You may use the Site for lawful purposes consistent with these Terms. Permitted uses include browsing public pages, submitting genuine business inquiries through our contact form, and downloading publicly available materials for your internal evaluation. You must not use the Site to:
- Request completion of student assignments, essays, examinations, or credentials on behalf of learners;
- Transmit malware, conduct automated scraping that degrades Site performance, or attempt unauthorized access to our systems;
- Impersonate another person or misrepresent your affiliation with an institution;
- Harvest email addresses or personal information of others;
- Violate any applicable federal, provincial, or local law or regulation.
We reserve the right to block or report misuse, including academic dishonesty requests, to relevant institutions or authorities where appropriate.
4. Intellectual property
Unless otherwise noted, all content on the Site — including text, graphics, logos, icons, images, page layout, and software — is owned by EduSynthLab Inc. or licensed to us and is protected by Canadian and international copyright, trademark, and other intellectual property laws. You may view and print pages for personal, non-commercial reference. You may not reproduce, distribute, modify, create derivative works from, publicly display, or commercially exploit Site content without our prior written consent, except as allowed by fair dealing under the Copyright Act (Canada).
"EduSynthLab" and the ES node logo are unregistered trademarks of EduSynthLab Inc. Third-party names and marks appearing on the Site belong to their respective owners.
5. User submissions
When you submit information through our contact form or email, you represent that the information is accurate to the best of your knowledge and that you have authority to share it. You grant us a limited licence to use submission content solely to evaluate and respond to your inquiry. We do not claim ownership of your underlying curriculum materials or institutional documents unless a separate services agreement provides otherwise.
6. No professional advice on the Site
Content on the Site is provided for general information about our capabilities. It is not legal, pedagogical, psychometric, or regulatory advice. Decisions about curriculum adoption, assessment validity, or AI governance require context-specific analysis documented in formal engagements. Reliance on Site content alone is at your own risk.
7. Third-party links
The Site may link to external websites for reference. We do not control and are not responsible for third-party content, privacy practices, or availability. Inclusion of a link does not imply endorsement.
8. Disclaimer of warranties
The Site is provided on an "as is" and "as available" basis without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement, to the fullest extent permitted by applicable law. We do not warrant that the Site will be uninterrupted, error-free, or free of harmful components.
9. Limitation of liability
To the maximum extent permitted by British Columbia law, EduSynthLab Inc. and its directors, officers, employees, and contractors shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Site, including loss of profits, data, or goodwill, even if advised of the possibility. Our aggregate liability for direct damages related to Site use shall not exceed one hundred Canadian dollars (CAD $100), except where liability cannot be excluded by law.
Nothing in these Terms limits liability for gross negligence, fraud, or personal injury caused by our negligence where exclusion is prohibited.
10. Indemnity
You agree to indemnify and hold harmless EduSynthLab Inc. from claims, damages, losses, and expenses (including reasonable legal fees) arising from your breach of these Terms or misuse of the Site, except to the extent caused by our own wrongful conduct.
11. Privacy
Your use of the Site is also governed by our Privacy Policy, which explains how we handle personal information under PIPEDA and PIPA BC. By submitting the contact form, you confirm you have read the Privacy Policy and provide the consents indicated on the form.
12. Governing law and jurisdiction
These Terms are governed by the laws of the Province of British Columbia and the federal laws of Canada applicable therein, without regard to conflict-of-law rules. You agree to the exclusive jurisdiction of the courts located in British Columbia for disputes arising from these Terms or Site use, subject to mandatory consumer protections that may apply in your province of residence.
13. Severability
If any provision of these Terms is found unenforceable, the remaining provisions continue in full force and effect. The unenforceable provision shall be modified to the minimum extent necessary to make it enforceable while preserving intent.
14. Changes
We may revise these Terms by posting an updated version on the Site with a new "Last updated" date. Continued use after changes constitutes acceptance of the revised Terms. Material changes may also be noted on the legal hub page.
16. Entire agreement for Site use
These Terms, together with the Privacy Policy and Cookie Notice, constitute the entire agreement between you and EduSynthLab Inc. regarding use of the Site. They supersede prior oral or written understandings on that subject. Separate written contracts govern paid professional services and prevail over these Terms where they conflict.
17. Language
These Terms are drafted in English. Any translated version is provided for convenience only. The English text governs in the event of discrepancy.
18. Assignment
You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations in connection with a merger, acquisition, or sale of substantially all assets, provided the successor assumes these Terms with respect to Site users.
19. Waiver
Our failure to enforce any provision of these Terms at any time does not constitute a waiver of that provision or any other provision. Waivers must be in writing signed by an authorized representative of EduSynthLab Inc.
